Valley Made Market Community Guidelines

We’re all in this together, it’s not about any one person’s needs over another. If you need something please communicate respectfully and try to be clear. Our core values are community over competition.

Introduction

These Terms and Conditions ("Agreement") constitute a legally binding agreement between the vendor ("you") and Valley Made Market / elSage Designs LLC ("we," "us," "our") governing your participation in Valley Made Market. By submitting your application and paying your booth fee, you agree to be bound by this Agreement.

  1. Vendor Participation

We reserve the right to accept or reject any application, for any reason, without explanation. In the event that your application is accepted, you will receive a confirmation email and further instructions regarding your participation in the event.

2. Booth Fees

All booth fees must be paid in full at the time of due date. Booth fees are non-refundable, regardless of any circumstances including inclement weather, attendance, or cancellation. However, in the event that you cancel your participation in Valley Made Market with more than 1 month's notice, you will receive a refund of 90% of your booth fee. Cancellations with less than 1 month's notice will not be eligible for any refund.

3. Indemnification and Limitation of Liability

You agree to indemnify, defend, and hold harmless Valley Made Market / elSage Designs LLC and its officers, directors, employees, agents, and affiliates, from any and all claims, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to your participation in Valley Made Market. You acknowledge that Valley Made Market / elSage Designs LLC shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or related to your participation in Valley Made Market.

4. Termination and Cancellation

We reserve the right to terminate this Agreement at any time and for any reason, without explanation. In the event that we cancel Valley Made Market, you will not be entitled to any refund of your booth fee. If Valley Made Market is closed early due to circumstances beyond our control (including but not limited to inclement weather, emergency situations, or any other unforeseen event), vendors will not be entitled to a refund of their booth fee.

We are committed to creating an inclusive community at Valley Made Market. Discrimination of any kind, including but not limited to discrimination based on race, ethnicity, gender identity or expression, sexual orientation, religion, or disability, will not be tolerated. We reserve the right to remove any vendor from Valley Made Market without refund if we find that they have engaged in discriminatory behavior.

5. Miscellaneous

This Agreement constitutes the entire agreement between you and Valley Made Market / elSage Designs LLC regarding your participation in Valley Made Market. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. Any dispute arising out of or related to this Agreement shall be resolved exclusively through arbitration in the County of Skagit, Washington, in accordance with the rules of the American Arbitration Association. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
